1. Introduction

These Terms of Service govern your access to and use of services, software, products, and websites operated by CYVERNA (O) Private Limited ('CYVERNA', 'we', 'us', 'our'). By engaging CYVERNA services or accessing cyverna.in, you agree to be bound by these Terms.

2. Services

CYVERNA provides nine integrated platforms — CyberShield, EduCore, BusinessFlow CRM, Digital Presence Engine, Conversational AI Platform, MotionReach Studio, VoiceDesk AI, AI Certification, and SmartOrder AI — along with related consulting, implementation, and managed services.

Specific deliverables, timelines, and obligations for each engagement are documented in a Statement of Work (SOW) or service agreement signed between CYVERNA and the client.

3. Engagement & Quotation

All engagements begin with a free consultation. Pricing is tailored to each engagement based on scope, scale, and complexity. A signed SOW or service agreement is required before work commences. Verbal commitments are not binding; only signed written agreements create obligations.

4. Payment Terms

  • Payment terms (advance, milestone, or post-deployment) are specified in each SOW.
  • All fees are in Indian Rupees (INR) unless stated otherwise.
  • GST is applicable as per Indian tax law.
  • Late payments may incur interest at 1.5% per month or the maximum permitted by law.

5. Client Responsibilities

The client agrees to:

  • Provide timely access to systems, data, and personnel required for the engagement.
  • Designate a primary point of contact authorised to make decisions.
  • Ensure all data shared with CYVERNA is lawfully obtained and may be processed for the stated purpose.
  • Provide accurate, complete information necessary for service delivery.

6. Intellectual Property

Pre-existing IP brought by either party remains the property of that party. Deliverables created specifically for the client under an SOW are owned by the client on full payment, except for CYVERNA's reusable frameworks, methodologies, code libraries, and tooling, which remain CYVERNA's property and are licensed to the client for internal use.

7. Confidentiality

Both parties agree to keep confidential all non-public information disclosed during the engagement. Confidentiality obligations survive termination for a period of three (3) years. Confidential information may only be disclosed if required by law or with the prior written consent of the disclosing party.

8. Data Protection & Security

CYVERNA complies with India's Digital Personal Data Protection Act 2023 (DPDP Act), GDPR (where applicable), and other relevant data protection laws. We use AES-256 encryption at rest, TLS in transit, role-based access controls, and align our practices to ISO 27001.

9. Warranties & Limitations

CYVERNA warrants that services will be performed in a professional manner consistent with industry standards. Beyond this, CYVERNA makes no other warranties, express or implied, including any implied warranty of merchantability or fitness for a particular purpose. CYVERNA's total liability under any engagement is limited to the fees paid by the client for that engagement in the 12 months preceding the claim.

10. Refunds & Cancellation

Detailed terms are in our Refund Policy. In short: no refunds are issued after commencement of service delivery. Cancellations before commencement may be subject to mobilisation charges.

11. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Hyderabad, Telangana.

12. Changes to These Terms

CYVERNA may update these Terms periodically. The latest version is always published on cyverna.in. Continued use of services after changes constitutes acceptance.
